Terms and Conditions

1. Introduction

Welcome to SACCOs Manager, a product of Softneedstack Technologies ("we," "our," "us," or the "Company"). These Terms and Conditions ("Terms") govern your access to and use of our SACCO (Savings and Credit Cooperative Organisation) management platform, website, and related services (collectively, the "Platform").

By registering for an account, accessing, or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Platform.

2. Definitions

  • "Platform" means the SACCOs Manager web application and all related services provided by Softneedstack Technologies.
  • "Entity" or "SACCO" means a Savings and Credit Cooperative Organisation or other cooperative entity registered on the Platform.
  • "Administrator" means an authorised user with management privileges for an Entity on the Platform.
  • "Member" means an individual registered as a member of an Entity on the Platform.
  • "User" means any person who accesses or uses the Platform, including Administrators and Members.
  • "Services" means the SACCO management features provided by the Platform, including member management, loan processing, contribution tracking, financial reporting, notifications, and AI-powered tools.

3. Eligibility

You must be at least 18 years of age and possess the legal capacity to enter into a binding agreement under Nigerian law to use our Platform. By registering, you represent and warrant that you meet these requirements.

Entities registering on the Platform must be lawfully established under the laws of the Federal Republic of Nigeria, including the Cooperative Societies Act and any applicable state cooperative laws.

4. Account Registration and Security

a. Registration

To access our Services, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.

b. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at softneedstacktechnologies@gmail.com if you suspect any unauthorised access to your account.

c. Account Responsibility

We are not liable for any loss or damage arising from your failure to comply with account security obligations.

5. Services Provided

The Platform provides the following services to registered Entities:

  • Member registration and management
  • Savings and contribution tracking
  • Loan application, processing, and repayment management
  • Dividend and interest calculation
  • Financial reporting and analytics
  • Notification services via SMS, email, WhatsApp, and Telegram
  • AI-powered tools for financial insights, message composition, and risk assessment
  • Payment processing through integrated third-party providers
  • Database backup and recovery

6. User Obligations

By using our Platform, you agree to:

  • Use the Platform only for lawful purposes and in accordance with these Terms
  • Provide accurate and truthful information when registering and managing data
  • Not use the Platform to transmit harmful, offensive, defamatory, or illegal content
  • Not attempt to gain unauthorised access to the Platform, other accounts, or our systems
  • Not reverse-engineer, decompile, or disassemble any part of the Platform
  • Not use automated scripts, bots, or scrapers to access the Platform without prior written consent
  • Comply with all applicable Nigerian laws and regulations, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015
  • Not use the Platform for money laundering, fraud, or any illegal financial activity

7. Entity Administrator Responsibilities

Administrators are responsible for:

  • Ensuring the accuracy and legality of all member data entered into the Platform
  • Obtaining appropriate consent from members before registering their personal data, in compliance with the Nigeria Data Protection Act (NDPA) 2023
  • Managing user roles and access permissions within their Entity
  • Ensuring that their use of bulk messaging features (SMS, email, WhatsApp, Telegram) complies with applicable anti-spam laws and regulations
  • Maintaining appropriate records for regulatory compliance

8. Financial Transactions

a. Payment Processing

Financial transactions on the Platform may be processed through third-party payment processors (e.g., Paystack). Such transactions are subject to the terms and conditions of the respective payment processor. We are not responsible for errors, delays, or failures by third-party processors.

b. Accuracy

While we strive to ensure the accuracy of financial calculations and records, Administrators are responsible for verifying the accuracy of all financial data and transactions. The Platform is a management tool and does not replace professional accounting or auditing services.

c. No Financial Advice

Nothing on the Platform constitutes financial, investment, or legal advice. AI-powered insights and recommendations are provided for informational purposes only and should not be relied upon as the sole basis for financial decisions.

9. AI-Powered Features

a. Nature of AI Services

The Platform incorporates AI-powered features (e.g., financial insights, risk assessments, message composition) that use third-party AI services. These features are provided "as-is" and are intended to assist Administrators, not replace professional judgement.

b. Limitations

AI-generated content may not always be accurate, complete, or appropriate. Users should review and verify all AI-generated outputs before relying on them or communicating them to third parties.

c. Usage Limits

AI features are subject to monthly usage limits as configured by the system administrator. These limits may be adjusted at the sole discretion of the Company.

10. Intellectual Property

a. Our Rights

All intellectual property rights in the Platform, including but not limited to software, design, logos, trademarks, and content, are owned by Softneedstack Technologies or its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

b. Your Data

You retain ownership of the data you input into the Platform. By using the Platform, you grant us a limited, non-exclusive licence to process, store, and transmit your data solely for the purpose of providing our Services.

11. Subscription and Fees

a. Pricing

Access to the Platform may be subject to subscription fees as published on our website. Fees are payable in Nigerian Naira (₦) unless otherwise stated.

b. Payment

Fees are due as specified in the applicable subscription plan. Failure to pay may result in suspension or termination of access.

c. Changes to Fees

We reserve the right to modify our pricing at any time. Changes will be communicated to you at least 30 days before taking effect. Continued use of the Platform after fee changes constitutes acceptance.

d. Refunds

Fees paid are non-refundable except as required by applicable Nigerian law or at our sole discretion.

12. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy, in accordance with the Nigeria Data Protection Act (NDPA) 2023 and the NDPR 2019.

13. Notification Services

a. SMS, Email, WhatsApp, and Telegram

The Platform provides notification services via SMS, email, WhatsApp, and Telegram. These services are subject to monthly limits per member/user as configured at the Entity level.

b. Consent

By enabling notifications, you confirm that you have obtained the necessary consent from recipients to receive such communications. For Telegram notifications, members must actively link their Telegram account by initiating a conversation with our bot (@SACCOsManagerBot) via a secure deep link provided on the Platform.

c. Third-Party Services

Notification delivery depends on third-party providers (BulkSMS Nigeria, Termii, Twilio, Gmail, Telegram). We are not responsible for delivery failures, delays, or charges incurred by third-party providers.

14. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • The Platform is provided "as-is" and "as-available" without warranties of any kind, whether express, implied, or statutory.
  • We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
  • We shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
  • We shall not be liable for any loss of data, profits, revenue, or business opportunities.

15. Indemnification

You agree to indemnify, defend, and hold harmless Softneedstack Technologies, its directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your breach of these Terms
  • Your violation of any law or the rights of a third party
  • Any data entered into the Platform by you or under your account

16. Suspension and Termination

a. By You

You may terminate your account at any time by contacting us at softneedstacktechnologies@gmail.com.

b. By Us

We reserve the right to suspend or terminate your access to the Platform, without prior notice, if:

  • You breach any provision of these Terms
  • You engage in fraudulent, illegal, or harmful activity
  • Your subscription fees are overdue
  • We are required to do so by law or court order

c. Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We may retain your data as required by applicable law. Data that is not subject to legal retention will be deleted within 90 days of termination.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power failure, internet disruption, or failure of third-party services.

18. Dispute Resolution

a. Amicable Resolution

In the event of any dispute arising from or relating to these Terms, the parties shall first attempt to resolve the dispute amicably through negotiation within 30 days of written notice.

b. Mediation

If the dispute cannot be resolved amicably, the parties agree to submit to mediation under the rules of the Lagos Court of Arbitration (LCA) or any other mutually agreed mediation centre in Nigeria.

c. Arbitration

If mediation fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Mediation Act 2023 of Nigeria. The arbitration shall be conducted in English and shall take place in Lagos, Nigeria.

d. Jurisdiction

Subject to the arbitration clause above, the courts of the Federal Republic of Nigeria shall have exclusive jurisdiction over any legal proceedings arising from these Terms.

19. Modifications to Terms

We may modify these Terms at any time. The revised Terms will be posted on our Platform with the updated effective date. We will notify registered users of material changes via email. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Softneedstack Technologies regarding the use of the Platform and supersede all prior agreements and understandings.
